Terms and Conditions for Terminal X

  1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Terminal X (“the Software”), a cloud-based software suite provided by Imperial Commerce Ltd (“us”, “we”, “our”, or “the Company”), a company registered in the UK with registration number No. 10044219, at the address of Unit 5 Nexus Close, Off Central Way, Feltham, TW14 0AF, UK. By accessing, downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.

      2. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software for your internal business purposes only.

      3. User Accounts

To use the Software, you must register for a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

      4. Fees and Payment

Access to and use of the Software may be subject to fees. By subscribing to the Software, you agree to pay the applicable fees and any taxes associated with your use of the Software. We may change the fees at any time, and we will notify you in advance of any changes. All fees are non-refundable, except as required by law or as otherwise stated in these Terms.

      5. Restrictions

You agree not to:

a.Use the Software for any illegal or unauthorized purpose; b. Reverse engineer, decompile, or disassemble the Software; c. Modify, alter, or create derivative works of the Software; d. Remove or alter any proprietary notices in the Software; e. Share, sell, sublicense, or otherwise transfer your license to the Software; f. Use the Software in any manner that could damage, disable, overburden, or impair the Software or our systems.

      6. Intellectual Property

All rights, title, and interest in and to the Software, including all intellectual property rights therein, are and will remain the exclusive property of the Company and its licensors. Nothing in these Terms grants you any rights in the Software other than the limited license specified in Section 2.

      7. Termination

We may terminate your access to and use of the Software at any time, with or without cause, and with or without notice. Upon termination, you must immediately cease all use of the Software and destroy any copies in your possession or control. All provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 6, 8, 9, and 10.

      8. Disclaimer of Warranties

The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will meet your requirements, be error-free, secure, or uninterrupted, or that defects will be corrected.

       9. Limitation of Liability

In no event will we be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to lost profits, loss of data, or loss of goodwill, arising out of or in connection with your access to or use of, or inability to access or use, the Software, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or in connection with your access to or use of, or inability to access or use, the Software, will not exceed the amount paid by you for the Software during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Software, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

        11. Changes to these Terms

We may update these Terms from time to time. We will notify you of any significant changes by posting an update on our website or by contacting you directly. Your continued use of the Software after such changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Software.

       12. Governing Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the United Kingdom, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

       13. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will remain in full force and effect.

       14. Waiver

No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition, and our failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

       15. Entire Agreement

These Terms, together with any other legal notices or agreements published by us in connection with the Software, constitute the entire agreement between you and the Company with respect to the Software and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Company with respect to the Software.
